1. Application
1.1
These General Terms and Conditions of Sale (hereinafter the "Terms") are entered into between:
a legal entity or a professional wishing to make a purchase within the scope of their professional activity, via the Site (hereinafter referred to as the "Professional Client") and
the company A L'OLIVIER GROUPE, a simplified joint-stock company with a capital of €4,640,000 having its registered office at 32 rue Jacques Robert, 95500 LE THILLAY, registered in the RCS PONTOISE under number 562 027 623, intra-community VAT number FR 72 562 027 623 having a secondary establishment located at 610 Avenue, ZI, 4th Avenue BP538 06516 CARROS (hereinafter referred to as "A L'OLIVIER").
1.2
By placing an order for a product on the Site, the Professional Client acknowledges that their order is governed by these Terms and Conditions, which the Professional Client declares to accept without restriction or reservation. This acceptance is in no way conditional upon a handwritten signature from the Professional Client. In accordance with the applicable provisions of the Civil Code, it is noted that order validation, as specified in Article 4, constitutes an electronic signature which, between the Parties, has the same legal value as a handwritten signature.
1.3
Any special condition or any other written document contained in particular in documents from the professional Client (including the order) cannot prevail over these Conditions without the prior express written agreement of A L'OLIVIER.
1.4
A L'OLIVIER reserves the right to modify these Terms and Conditions, which the professional Client is responsible for consulting regularly. The online version of these Terms and Conditions on the Website will prevail, where applicable, over any other version of said Terms and Conditions, with the exception of modifications made after an order has been placed by the professional Client.
2. Products
2.1
A L'OLIVIER presents on the Site the various products it offers for sale, as well as their detailed descriptions contained in product sheets, offering the professional Client the opportunity to know, before placing a final order, the essential characteristics of each product that it can purchase via the Site.
2.2
The Products comply with current French regulations.
2.3
Products are offered subject to availability at the time the order is placed by the professional customer. Any product that becomes unavailable will be marked as such. A L'OLIVIER reserves the right to modify or discontinue the sale of Products on the Site at any time; however, such modifications will not affect orders that A L'OLIVIER has already accepted before the modifications take effect. In the event a product is unavailable, A L'OLIVIER will inform the professional customer as soon as possible regarding the delivery of a partial order or the cancellation of their order.
3. Price
3.1
The applicable prices are those displayed on the Website at the time the professional Client confirms their order. Prices are quoted in euros and are exclusive of tax. Prices are subject to French Value Added Tax (VAT) applicable on the date of the order, which will be added to the price excluding tax.
3.2
The professional customer is informed that delivery charges will be billed in addition to the price of the products, and that they will be specifically indicated on the order summary and in the order confirmation email.
3.3
At any time and without notice, A L'OLIVIER reserves the right to change the prices of its products without such changes affecting orders that A L'OLIVIER has accepted before the changes come into effect.
4. Order
4.1
To place an order on the Site, the professional Client must:
to have the legal capacity to contract within the scope of one's professional activity;
have a business address in one of the countries where deliveries are made;
to have a funded professional bank account allowing them to pay the amount of their order online.
4.2
To add a product to their cart, the Business Customer will click on the "Add to cart" icon. A window will appear indicating that the product has been successfully added to the cart. At any time, the Business Customer can:
Continue shopping by clicking on the "Continue shopping" icon;
Place your order by clicking the "Order" icon. In this case, the business customer will see a summary of their shopping cart. They can modify it by clicking the "Delete" icon if they no longer wish to order a product, or they can choose to increase or decrease the number of products ordered. The business customer can view a summary of the products they have selected or modify their shopping cart by clicking the "Shopping Cart" icon, accessible on every page. Once the shopping cart is finalized, the business customer will confirm their order by clicking "Place Order."
4.3
The business customer must then log in and create a business account if they are not already registered. The business customer agrees, in particular, to provide the following information:
its company name, the name(s), first name(s) of the legal representative, telephone number and professional email address. Said email address must be perfectly valid and in perfect working order;
its SIRET number and its intra-community VAT number where applicable;
a professional postal address to which the delivery will be made.
4.4
Once the business customer is identified, they can click "Continue" to proceed to the address section. There, they can add a new address and use a different address for shipping and billing.
4.5
By clicking "Continue," the business customer will proceed to the delivery method selection stage. Once the delivery method is selected, they can click "Continue" to proceed to the payment stage.
4.6
At this stage, the business customer will be asked to choose their payment method to proceed with payment for their order. Once the payment method is selected, a space will appear allowing them to enter their bank details. The business customer will then need to accept our general terms and conditions of sale by clicking on the icon "I have read the general terms and conditions of sale and I accept them without reservation" and then click on the "order" button. A window will appear with the message "Your order is confirmed."
4.7
The data recorded for delivery and invoicing by A L'OLIVIER constitutes proof of all transactions between A L'OLIVIER and the professional Client. In the event of a dispute between the Parties regarding a transaction carried out on the Site, the data recorded by A L'OLIVIER shall be considered irrefutable proof of the transaction's content. Order forms and invoices are archived on a reliable and durable medium that can be produced as evidence.
5. Order Payment
5.1
Payment will be made exclusively in euros by credit card (Visa, MasterCard, Maestro, American Express, and CB) or bank transfer, excluding all other payment methods. For each order, a debit request will be sent to the professional client's bank within 24 hours. The order will be considered effective upon confirmation of authorization from the bank payment centers.
5.2
To make the required payment, the Business Customer must provide their bank card number, its expiry date, and, if applicable, the security code. The Business Customer guarantees to L'OLIVIER that they have all necessary authorizations to use the chosen payment method at the time of order confirmation. The Business Customer's bank details are requested for each order.
5.3
Payments are processed through the secure STRIPE system, which uses the TLS (Transport Layer Security) protocol. This ensures that transmitted information is encrypted and that no third party can access it during transmission over the network. The transfer of the professional client's personal data to STRIPE is governed by the standard contractual clauses established by the European Commission.
5.4
STRIPE assures that the business customer's bank card number is known only to STRIPE and is not transmitted to A L'OLIVIER. STRIPE also assures that the payment is sent to A L'OLIVIER, which has been clearly authenticated beforehand by STRIPE.
5.5
As part of our efforts to combat online fraud, information relating to a Business Customer's order may be transmitted to any third party authorized by law or designated by A L'OLIVIER solely for the purpose of verifying the Business Customer's identity, the validity of the order, the payment method used, and the intended delivery. Following this verification, A L'OLIVIER reserves the right to request a photocopy of the identity document of the Business Customer's legal representative and/or any other information relating to the Business Customer's identity. All Business Customers have the right to access, rectify, and delete their personal data processed by A L'OLIVIER, under the conditions set forth in the Privacy Policy.
5.6
In the event of a refusal by the bank, the order will be automatically cancelled and the professional Client will be informed by A L'OLIVIER.
6. Order confirmation by A L'OLIVIER
6.1
The product order will only be considered firm and final once it has been confirmed by A L'OLIVIER. Once the product order is confirmed and payment is validated, an order confirmation email will be sent to the professional customer. If the products ordered by the professional customer are in stock, delivery of the order will take place according to the terms of Article 7 below. In the event that one or more products are out of stock, A L'OLIVIER undertakes to contact the professional customer as soon as possible to agree on the most appropriate solution (partial refund of the order, product substitution, etc.).
6.2
A L'OLIVIER reserves the right to refuse any abnormal order or order placed in bad faith.
7. Delivery and delivery delays
7.1
A L'OLIVIER retains ownership of the products ordered until full payment of the corresponding price.
7.2
The products will be delivered to the professional postal address provided by the professional Client when placing their order.
7.3
Online sales of the products presented on this Site are reserved exclusively for professional clients with a business establishment in the countries offered in the online store and for deliveries within those geographical areas. A L'OLIVIER reserves the right to refuse any order destined for a country in which it does not have a specific distribution agreement, or in which specific local regulations apply to its products.
7.4
Delivery times are provided by A L'OLIVIER's carrier, who is responsible for them. However, delivery will occur no later than thirty (30) days from the order date, unless otherwise specified. The professional customer will be informed of this before placing their order, and an average delivery time will be indicated.
7.5
Any delivery delay must be reported in writing as soon as possible by the Business Customer to A L'OLIVIER, who will then conduct an investigation with the carriers concerned. The Business Customer may cancel their order if delivery has not occurred by the delivery date initially indicated to the Business Customer, provided that the delay is not due to the Business Customer or to force majeure. Upon exercising the right of cancellation, or upon the conclusion of the investigation conducted by A L'OLIVIER confirming the loss of the package, A L'OLIVIER will issue a refund to the bank account debited at the time of the order, within a maximum of fourteen (14) days from receipt of the cancellation notice, excluding any other compensation, or will reship the products at its own expense if the order has not been cancelled by the Business Customer. In the event of partial delivery of the order, delivery may be made in several installments, and this right will only concern the undelivered balance of the order.
8. Receipt of products by the professional client
8.1
Each delivery is deemed complete upon the carrier making the products available to the professional customer, as evidenced by the carrier's tracking system. No dispute regarding the delivery itself will be possible if the package appears to have been delivered, as the carrier's computer system is considered conclusive proof.
8.2
It is the responsibility of the professional client to:
Unpack the package in the presence of the delivery person;
Record detailed handwritten reservations. Reservations made by the recipient upon delivery constitute proof of the existence and extent of the damage. The professional client must ensure that their statements are precise and complete (the simple mention "subject to unpacking" is considered too general and imprecise);
Notify the carrier within 3 days of receiving the order of a reasoned protest by registered letter with acknowledgment of receipt, in accordance with the provisions of Article L.133-3 of the Commercial Code;
Inform A L'OLIVIER by email or registered mail within three (3) business days of order delivery. Business customers should include a copy of the claim filed with the carrier with their notification.
8.3
For deliveries to mailboxes or to a third party (in the case of a parcel delivered without a signature), the business customer may refuse the parcel upon delivery or return it to the post office no later than the next business day following delivery to request its return to A L'OLIVIER without additional postage. In all cases, the parcel must not have been opened.
8.4
For deliveries to collection points, it is the responsibility of the business customer to check the packaging before accepting it. They may then decide to refuse it. If they accept it, they must then photograph it before unpacking.
9. Guarantees
9.1
A L'OLIVIER guarantees that its products conform to their intended use and are free from defects or hidden flaws that would render them dangerous or unfit for their normal purpose. Therefore, all products sold on the Site are covered by the warranty against hidden defects (as defined in Articles 1641 et seq. of the French Civil Code), allowing professional customers to return defective or non-conforming products.
9.2
Products modified, repaired, integrated, or added to by the professional customer are excluded from the warranty. The warranty does not cover visible defects. The warranty does not cover products damaged during transport or due to misuse.
9.3
The professional client may choose to invoke the warranty against hidden defects in the goods sold, as defined in Article 1641 of the French Civil Code. In this case, A L'OLIVIER undertakes, at the professional client's discretion, after assessing the defect:
either to reimburse him for the full price of the returned product, within a maximum period of 30 days,
or to reimburse part of the product price, within a maximum period of 30 days, if the professional Client decides to keep the product.
9.4
For any questions regarding warranties, the professional Client must contact Customer Service via the Website.
10. Responsibility of A L'OLIVIER
10.1
A L'OLIVIER cannot be held responsible for any inconvenience or damage inherent in the use of the Internet network, including service interruptions, the occurrence of bugs, external intrusions or the presence of computer viruses.
10.2
Without prejudice to the provisions of the preceding paragraphs, A L'OLIVIER's liability under these Conditions shall not be engaged, in any event jointly and severally, and shall not exceed an amount equal to the sums paid or payable at the time of the transaction which gave rise to said liability for A L'OLIVIER's products, whatever the cause or form of the action concerned.
11. Intellectual Property
11.1
The Site is the sole and exclusive property of A L'OLIVIER. A L'OLIVIER holds all intellectual property rights necessary to make it available online. Both the Site's overall structure (graphic design) and its content (texts, slogans, graphics, images, sounds, videos), including trademarks, logos, company names, domain name, software, databases, and newsletters (hereinafter the "Content") are the property of A L'OLIVIER or third parties authorized to use them, and are protected by copyright law and the French Intellectual Property Code. No license or right other than the right to view the Site is granted. Reproduction of all or part of the Site and its Content is authorized only for informational purposes and for professional use.
11.2
Therefore, in accordance with the provisions of the Intellectual Property Code, any representation, reproduction, modification, or distortion of the Content, by any means whatsoever and on any medium whatsoever, without the express prior authorization of A L'OLIVIER, is prohibited and constitutes an act of infringement. Similarly, any unauthorized use of the Site and/or its Content may result in the professional Client being held criminally and civilly liable on the grounds of infringement.
11.3
The hypertext links implemented within the Site to other sites, and in general to all existing resources on the Internet, cannot engage the responsibility of A L'OLIVIER.
12. Personal Data
12.1
A L'OLIVIER undertakes to comply with its obligations under the General Data Protection Regulation (GDPR) and Law No. 78-17 of 6 January 1978, as amended.
12.2
The Personal Data Protection Policy is available on the Site.
13. Force majeure
13.1
A L'OLIVIER cannot be held liable for failure to perform any of its obligations if such failure is due to force majeure. The following are considered force majeure events, without this list being exhaustive: war, flood, fire, storm, lack of raw materials, strikes by suppliers or transport companies, decisions by public authorities preventing the import or transit of products, partial or total crop failure due to weather events or diseases affecting crops, and the presence of a virus classified as a pandemic or epidemic by the authorities.
13.2
A L'OLIVIER undertakes to notify the professional Client within ten (10) business days of the occurrence of the force majeure event. The professional Client and A L'OLIVIER agree, in such a case, to consult with each other as soon as possible to jointly determine the terms of execution of the order during the period of force majeure.
14. Entire agreement
14.1
These Terms and the order summary sent to the professional Client form a contractual whole and constitute the entirety of the contractual relations between the Parties.
14.2
In general, it is expressly agreed between A L'OLIVIER and the professional Client that emails will be considered valid between them as well as the automatic recording systems used on the Site, particularly with regard to the nature and date of the order.

15.1

16. Applicable Law and Jurisdiction
16.1
These Terms and Conditions are governed by French law.
16.2
Subject to any contrary provisions of the Code of Civil Procedure, any dispute which may arise concerning the validity, interpretation or performance of these Conditions and which has not been settled amicably by the Parties hereto, shall be submitted to the FRENCH courts, notwithstanding multiple defendants, third-party claims, summary proceedings and expert opinions.
